These Website Terms of Use (“Terms”) explain how you may use the website located at https://www.censuspay.com (the “Site”).

The Site is operated by Census Pay, a company incorporated in the Sultanate of Oman (“Census Pay”, “we”, “us”, or “our”). “You” means the person or entity accessing or using the Site.

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

1. What Census Pay is (and isn't) right now

1.1. The Site describes our proposed payment solution for small and medium-sized businesses in the United Arab Emirates (the “Service”).

1.2. The Service is not yet live. At this stage, the Site is for information, early access registration, and communication only. We are not currently providing licensed payment services or acting as a payment service provider in the UAE or any other jurisdiction.

1.3. Nothing on the Site is:

• an offer to provide regulated financial services;
• financial, legal, tax, or regulatory advice; or
• a promise that any particular product or feature will be launched or available in any specific country or at any specific time.

1.4. Any references on the Site to fees, settlement times, features or integrations are illustrative only and may change without notice.

2. Who may use this Site

2.1. The Site is intended for business use only. By using the Site, you confirm that:

• you are acting on behalf of a business (such as a company, establishment or sole proprietorship); and
• you have authority to bind that business to these Terms.

2.2. You must be at least 18 years old to use the Site.

2.3. You are responsible for ensuring that your use of the Site complies with all laws and regulations that apply to you.

3. Your account and waitlist registration

3.1. You may choose to join a waitlist, request early access, or contact us through forms on the Site. When you do this, you agree to:

• provide accurate and complete information; and
• keep your information up to date.

3.2. We may accept or reject any waitlist or early access request at our discretion, and we are not obliged to provide any Service to you now or in the future.

3.3. We may contact you using the details you provide (for example, sending you updates about Census Pay, invitations to demos, or information about launch).

4. Acceptable use

You agree that you will not:

• use the Site for any unlawful purpose or in breach of any applicable law;
• attempt to gain unauthorised access to any systems, networks, or data;
• test, scan, or probe the vulnerability of the Site or any related system;
• introduce malware, viruses, or other harmful code;
• use the Site to send unsolicited commercial communications (spam); or
• copy, scrape, or harvest content from the Site in a way that is excessive or competes with our business.

We may suspend or block your access to the Site if we reasonably believe you have breached these Terms.

5.1. The Site, including all text, designs, graphics, logos, trademarks, and software, is owned by us or our licensors and is protected by copyright and other intellectual property laws.

5.2. We grant you a limited, non-exclusive, revocable licence to access and use the Site for your internal business purposes only.

6.2. We do not endorse and are not responsible for any third-party sites, services, or content, and your use of them is at your own risk.

7. No warranties

7.1. The Site is provided on an “as is” and “as available” basis.

7.2. To the maximum extent permitted by law, we do not make any warranties, promises, or representations, whether express or implied, including about:

• the accuracy, completeness, or reliability of any content;
• the availability or performance of the Site;
• the suitability of the Site or any information for your purposes; or
• the future launch, availability, or performance of any Census Pay product or service.

7.3. You are responsible for how you use any information obtained from the Site. You should not make business, financial or legal decisions solely based on information found here.

8. Limitation of liability

8.1. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

8.2. To the fullest extent permitted by law, we will not be liable for any:

• loss of profit, revenue, business, or opportunity;
• loss of data or goodwill; or
• indirect, consequential, or special loss,

arising out of or in connection with your use of (or inability to use) the Site.

8.3. If we are found liable to you for any reason, our total aggregate liability in respect of all claims arising out of or in connection with the Site will be limited to USD 100 (or equivalent).

9. Indemnity

You agree to indemnify us and hold us harmless from any claim, loss, damage, or expense (including legal fees) arising out of or in connection with:

• your breach of these Terms; or
• your misuse of the Site.

10. Changes to the Site and these Terms

10.1. We may update, modify, or remove the Site (or any part of it) at any time without notice.

10.2. We may update these Terms from time to time. When we do, we will change the “Last updated” date at the top. Your continued use of the Site after changes are posted means you accept the updated Terms.

Your use of the Site is also governed by our Privacy Notice, which explains how we collect and use personal data. Please read it carefully.

12. Governing law and jurisdiction

12.1. These Terms and any dispute or claim in connection with them are governed by the laws of the Sultanate of Oman, without regard to conflict-of-laws rules.

12.2. The courts of Muscat, Oman shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or your use of the Site, although we retain the right to bring proceedings in your country of residence or principal place of business.
